Terms of Service

These Terms of Service (“Terms”) govern your use of the Align Integrative Wellness, LLC website (“Site”) and related services (“Services”). By using the Site or Services, you agree to these Terms. If you do not agree, please do not use them.

1. Who can use the Service

You must be 18 or older. Telehealth Services are available only to adults physically located in Utah at the time of service. By using the Services, you represent that you meet these requirements.

2. Nature of services

Telehealth, not emergency care

Our Services are non-emergency telehealth, supplements, and clinical follow-up management. Our Services are not appropriate for medical emergencies. If you are experiencing a medical emergency, call 911 or go to your nearest emergency department immediately.

Provider-patient relationship

A provider-patient relationship is established only when you complete the intake process and are accepted as a patient by one of our licensed providers. Browsing the Site, scheduling a initial visit, or submitting a contact form does not by itself establish a provider-patient relationship.

Information on the Site is not medical advice

Content on the Site (service descriptions, FAQs, blog posts, educational material) is for informational purposes only and does not constitute medical advice. Do not rely on Site content as a substitute for personalized medical evaluation by a qualified provider.

3. Account registration

Some features (patient portal, scheduling) require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Payments and refunds

Fees for Services are described on the relevant service pages and at the time of booking. Payment is by credit/debit card processed through our payment processor. We do not currently bill insurance for Services (status as of effective date; see service pages for current insurance status).

Cancellation: You may cancel ongoing monthly Services at any time by contacting us. Refunds for completed visits are not provided. Refunds for unfulfilled medication orders are evaluated case-by-case.

Compounded medications: Once shipped, compounded medications are not returnable due to pharmacy regulations.

5. Acceptable use

You agree not to:

• Use the Site or Services for any unlawful purpose
• Attempt to access another user’s account or data
• Reverse-engineer, scrape, or interfere with the Site
• Submit false or misleading information during intake
• Misrepresent your location or identity
• Resell, share, or transfer prescription medications received from us

6. Intellectual property

The Site, its content, and the Align Integrative Wellness brand are owned by us or our licensors. You may not reproduce, distribute, or create derivative works without permission. You retain ownership of your own content (e.g., information you submit during intake), subject to our right to use it to provide Services and as described in our Privacy Policy.

7. Disclaimers

The Site and Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee specific clinical outcomes. Individual responses to treatment vary. Eligibility for any specific treatment depends on clinical evaluation. Compounded medications are not FDA-approved.

8. Limitation of liability

To the fullest extent permitted by law, Align Integrative Wellness, LLC and its providers, employees, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Services.

For direct damages, our total liability is limited to the amount you paid us in the twelve months preceding the claim, except where applicable law (including malpractice law) provides otherwise.

Nothing in these Terms limits liability for gross negligence, willful misconduct, or any liability that cannot be limited under applicable law, including malpractice claims governed by Utah law.

9. Indemnification

You agree to indemnify and hold harmless Align Integrative Wellness, LLC and its providers, employees, and contractors from any claim, demand, or expense arising out of your breach of these Terms or your misuse of the Services.

10. Governing law and dispute resolution

These Terms are governed by the laws of the State of Utah, without regard to conflict of laws principles. Any dispute arising out of these Terms or the Services will be resolved in the state or federal courts located in Salt Lake County, Utah, except where applicable law provides otherwise.

Note: many healthcare practices use binding arbitration clauses. We have not adopted one in this draft. Discuss with attorney whether arbitration is appropriate for AIW.

11. Changes to terms

We may update these Terms from time to time. The effective date at the top of this page reflects the most recent version. Continued use of the Services after a change indicates your acceptance.

12. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
